These Terms of Use (“Terms”) define the terms and conditions under which Trixten SAS (“the Provider”) makes the Tempo application, accessible in particular at app.tempo.trixten.com (“the Service”), available to professional users (“the Client”). Tempo is a SaaS service that enables the Client to configure, control, and monitor the sending cadence of electronic communications, including transactional or professional emails, through authorized third-party integrations.
Use of the Service implies the Client’s full and complete acceptance of these Terms. This acceptance is formalized through an explicit action (e.g., ticking an “I accept the Terms” checkbox) when creating an account or accessing the Service. The Client acknowledges acting as a professional.
The Service notably enables: the configuration of sending cadence and timing rules, integration with third-party services (e.g., Microsoft 365, SMTP providers), monitoring, and deliverability optimization. The Provider reserves the right to evolve the Service at any time, in particular for technical, security, or continuous improvement reasons.
Access to the Service is conditional upon: creating an account, providing accurate, complete, and up-to-date information, and complying with these Terms. The Client is responsible for the confidentiality of their credentials and for any use of the Service through their account.
Access to certain Service features may be subject to payment of a subscription. The applicable pricing terms (prices, durations, included features) are those specified on the Provider’s website or in any commercial offer accepted by the Client. Unless otherwise stated, subscriptions are billed in advance for a monthly period and are automatically renewed. In the event of non-payment, the Provider reserves the right to suspend access to the Service and then, after a reasonable period, terminate the Client’s account. Amounts paid remain acquired by the Provider, unless otherwise required by mandatory legal provisions.
The Client undertakes to use the Service: in compliance with applicable laws and regulations, particularly regarding electronic prospecting and personal data, exclusively for legitimate, lawful, and non-misleading communications, without infringing the rights of third parties. It is strictly prohibited to use the Service for: sending spam or unsolicited communications, unlawful, fraudulent, or malicious content, any activity likely to harm the reputation of the Provider or third-party service providers. The Client remains solely responsible for the content of the messages sent and the recipient lists used.
The Service may require the use of third-party APIs, services, or platforms. The Provider is not responsible for the operation, availability, or policies of these third-party services. The Client acknowledges that the use of these third-party services is subject to their own contractual terms.
The Provider implements reasonable technical and organizational measures to protect the Service and the data processed. Access tokens, credentials, and technical secrets delegated by the Client are stored securely and encrypted. The Provider never accesses the content of sent messages, except where required by law or upon the Client’s express request in a support context. Terms relating to personal data are detailed in the Provider’s Privacy Policy.
The Provider reserves the right to suspend or terminate access to the Service, without notice, in the event of: a breach of these Terms, clearly abusive or unlawful use, a proven risk to the security or reputation of the Service. Termination results in loss of access to the Service. The Client is invited to export their data before any final termination.
The Service is provided “as is” and subject to a best-efforts obligation. The Provider shall not be held liable for: temporary interruptions of the Service, failures related to third-party services, indirect damages or loss of revenue. To the extent permitted by law, the Provider’s total liability is limited to the amounts actually paid by the Client for the Service over the last twelve (12) months.
The Service, its architecture, interfaces, algorithms, and documentation are the exclusive property of the Provider. These Terms do not transfer any intellectual property rights to the Client.
The Provider reserves the right to modify these Terms at any time. The applicable Terms are those in force on the date the Service is used.
These Terms are governed by French law. Any dispute relating to their interpretation or performance falls under the exclusive jurisdiction of the courts within the district of the Provider’s registered office, subject to mandatory legal provisions.
